This ‘MyIPR Platform-Terms and Conditions of Use’, contains terms and conditions (“Platform Terms”) that constitute a legally binding agreement by and between, Mai Labs Private Limited, a company incorporated under the Indian Companies Act, 2013 (hereinafter referred to as the “Company “or “we”) and each end user (which includes a visitor/surfer) (“You”, “you” or “user”) of the MyIPR platform (“MyIPR Platform”) available at https://app.myipr.io/ or such other URL (“Site”) as may be designated by the Company from time to time.

THESE PLATFORM TERMS CONSTITUTE A LEGAL AGREEMENT BETWEEN YOU AND THE COMPANY.

BY ACCESSING THE MyIPR PLATFORM OR BY SUBMITTING A REQUEST TO PRESENT, DISPLAY, VIEW, HAVE TIME STAMPED, ACCESS ANY Digital File ON OUR MyIPR PLATFORM, YOU ARE DEEMED TO HAVE READ, ACCEPTED, EXECUTED AND AGREED TO BE BOUND BY THESE PLATFORM TERMS AND THE OTHER TERMS INCORPORATED HEREIN BY REFERENCE. IF YOU DO NOT AGREE TO ANY PROVISION OF THIS PLATFORM TERMS, YOU SHALL NOT USE/ACCESS THE MyIPR PLATFORM IN ANY MANNER.

• MyIPR PLATFORM
• The Company operates a MyIPR Platform by the name of MyIPR.io wherein Registered Users have the capability to upload Media or Digital File. The term "Media" encompasses various digital materials, such as images, videos, audio files, GIFs, text, and similar digital content. Furthermore, the nomenclature of "Digital File" is ascribed herein to denote a versatile classification which envelopes an extensive array of digital materials, including but not restricted to code, zip files, executable files, as well as the aforementioned "Media." It is imperative to acknowledge that the integration of both Media and Digital Files within this platform finds its relevance in the context of MyIPR Certificates, an integral component of the MyIPR Platform, for which users possess the capability of creating and uploading.
• Such Digital File shall be presented/uploaded by the Registered Users who may be the authors, creators, artists, assignees, publishers etc. of such Digital File (“Creator(s)”), registered on the MyIPR Platform. After presenting/upload of any Digital File by the Registered User onto the MyIPR Platform, the platform will generate a MyIPR Certificate in the name of the Registered User (“MyIPR Certificate”). The MyIPR Certificate only validates that the Registered User identified to MyIPR Platform had the underlying Digital file in his/her possession at the date and time the cryptographic Hash (defined hereinafter) was generated.
• The Company’s MyIPR Platform has been made available solely for the people who have registered on the MyIPR Platform as Registered Users by satisfying the eligibility criteria detailed under Clause 2 and completing the On-Boarding KYC/KYB Process (“Registered Users”). A visitor or surfer of the MyIPR Platform being an unregistered user shall also comply with all the applicable provisions of this Platform Terms which primarily includes but is not limited to the eligibility criteria detailed under Clause 2.
• MyIPR Platform is not a payment gateway, wallet provider, broker, financial institution or creditor. The Company may engage certain third-party payment gateways or aggregators (“PG”) to facilitate payment on the MyIPR Platform. Such payments shall be governed by the policies and terms and conditions of the authorized PG.
• The MyIPR Platform utilizes MyIPR Credits, which are the designated currency within the MyIPR Platform for transactions, including the generation and transfer of MyIPR Certificates. Registered Users can obtain MyIPR Credits through purchase at a price in fiat currency as determined by MyIPR Platform (“MyIPR Credits”). The MyIPR Platform has the authority to define the number of credits necessary for the MyIPR Certificate creation.
• Registered Users can opt to pay the fee set by the MyIPR Platform in fiat currency or with MyIPR Credits when creating a MyIPR Certificate. In the event of a certificate generation failure, Registered Users will receive a refund in the form of MyIPR Credits only.
• The Company has created the MyIPR Platform to enable the generation of MyIPR Certificates and permit its Registered Users to transfer the corresponding MyIPR Certificates associated with their designated Hash (as defined hereinafter) from one Registered User to another Registered User, within a prescribed framework. The originator or the existing holder of the MyIPR Certificate may initiate the transfer of MyIPR Certificate, which will become effective upon acceptance by the recipient. Subsequent to the MyIPR Certificate transfer, the prior creator or possessor relinquishes all rights to the transferred MyIPR Certificate. Nevertheless, the date of MyIPR Certificate transfer and creation will remain publicly visible.
• The interaction between the Registered Users on the MyIPR Platform would be governed by the Company and in case of any dispute arising out of or in connection with a transfer or interaction between Registered Users on the MyIPR Platform, the decision of the Company shall be binding on all the parties.
• The Company shall not allow any unregistered user to post, create or upload any Digital File on the MyIPR Platform.

• ELIGIBILITY CRITERIA
  • By accessing the MyIPR Platform, you agree and warrant that:
  • You are capable of entering and authorized to enter into a legally binding agreement;
  • All information that you post on the MyIPR Platform or provide to us is true and accurate;
  • You have the authority and capability to enter into this agreement and to abide by all the provisions of these Platform Terms;
  • You are not impersonating any person or entity;
  • You are not subject to any financial sanctions, embargoes or other restrictive measures imposed by the UK Treasury, US Office of Foreign Assets Control (OFAC), United Nations Security Council, European Union, any EU country, or any governmental or inter country authority (“Sanctions”);
  • You are not currently suspended or banned by the Company from accessing the MyIPR Platform;
  • You are not a politically exposed person;
  • The jurisdiction in which you are situated does not prohibit you from using the platform such as this MyIPR Platform;
  • You are compliant of all the applicable laws which includes but are not limited to money laundering laws, taxation laws, securities laws, competition laws, foreign exchange laws and anti-terrorism laws.
• Kindly note that if a user is an entity and not an individual, such user warrants that it, as an entity, and all its stakeholders (shareholders, directors, ultimate beneficial owners) in their individual capacity, are eligible to access the MyIPR Platform based on the above- mentioned criteria and the individual accessing the MyIPR Platform on behalf of such entity is authorized to do so by the entity who is the ultimate user.
• REGISTERED USER’S ACCOUNT
• An Account on the MyIPR Platform shall be established for each Registered User following the successful completion of the registration form and the verification of their email or mobile number, whichever is utilized for user registration ("Account"). Subsequently, a blockchain address, serving as a unique identity, and a blockchain wallet shall be associated with this Account. This wallet will enable Registered Users to manage the transfer and creation of MyIPR Certificate within the blockchain's framework, including activities such as MyIPR Certificate transfer, creation, burning, and the display of the MyIPR Certificate's history from creation to transfer ("MyIPR Wallet"). It's important to note that the MyIPR Wallet will only be created after the completion of the KYC/KYB process, and no MyIPR Certificate creation is permitted prior to successful KYC/KYB verification. Furthermore, please note that the wallet does not retain any files used in the MyIPR Certificate creation process.
• By registering on the MyIPR Platform you understand that the Company reserves the right, in its sole discretion, to deny you access to this Platform or any portion thereof without notice for the following reasons: (i) any unauthorized access or use by you; (ii) if you violate any provision of the Company’s policies which includes this Platform Terms, Privacy Policy, Creator’s Undertaking or any other policy enacted and posted by the Company from time to time; (iii) a direction from any governmental authority; (iv) if the Company is of the opinion that your Account is being used for immoral or unlawful purposes or the transaction being made through your Account are suspicious; or (v) you fail to adequately response to the Company’s intimations or queries raised with respect to your Account.
• Your dashboard on the MyIPR Platform will be linked to the MyIPR Wallet and will display the Digital Files presented/uploaded/created by you and stored in and linked to your MyIPR account. You are solely responsible for keeping your MyIPR Account and Wallet secure and you shall never share credentials of your Account or the MyIPR Wallet with anyone.
• You agree and understand that you are responsible for uploading Digital File, creating MyIPR Certificate and for the content, reviews, descriptions, posts, photos, Media, videos, sound recordings, comments, public conversations (“Content”) published through your Account and the Company shall not have any responsibility for such Content, including its originality, legality, reliability, accuracy, and appropriateness. The Company shall always have the authority to remove any or all your Content from any of the Company’s platforms if such Content has violated the principles of the Company’s Content Security Policy.
• You represent and warrant that you have or have obtained, all rights, licenses, authorities, consents over the Content that you post through your Account and shall continue to have all the associated rights in your Content. However, by accessing the MyIPR Platform and posting your Content on the Company’s platform, you grant the Company and its affiliates, assignees, licensees, agents, contractors, the right to share, post, advertise, publicise, transmit, host, use, modify, reproduce, transmit, broadcast, distribute, access, use, display, publish, distribute, adapt and modify such Content in the manner as the Company deems fit. This right to usage your Content shall be in the form of a worldwide, royalty free, nonexclusive, perpetual and an irrevocable license.
• You agree to indemnify and defend the Company from any action brought against the Company to the extent that such action is based on a claim that any aspect of the Content infringes any third-party patents, copyrights, or any other intellectual property rights.
• You agree that other users on the MyIPR Platform shall also have the right to access, read, like, comment on and share your Content on the MyIPR Platform.
• If you feel the security of your Account and/or the MyIPR Wallet has been compromised, you shall immediately report it to us at care@myipr.io The Company bears no responsibility or liability for any unauthorized access or use of the Account or any loss or damage arising out of, or in relation to such unauthorized access or use.
• CREATION OF Digital File’s
  • We, at our MyIPR Platform, allow Registered Users to present/upload any Digital File, which after our internal scrutiny and approval, will be presented/uploaded on our MyIPR Platform as Digital File for Creating MyIPR Certificate. The MyIPR Platform shall certify that the person identified to the MyIPR Platform (with the KYC/KYB details duly verified by us), has presented/uploaded certain Media to the MyIPR Platform with the intent to verify their possession of the said Media at the noted time and date mentioned in MyIPR Certificate.
  • The MyIPR Platform shall derive a cryptographic hash (SHA-256) which shall serve as a digital fingerprint of the Media, and which shall be submitted into and stored on our private blockchain i.e., Kalptantra (“Hash”), all in order to ensure authenticity and immutability of the time at which the said Media was uploaded as a Digital File onto the MyIPR Platform. This MyIPR Certificate shall merely validate that the person identified to the MyIPR Platform (with the KYC/KYB details verified by Third Party) had this Digital File in their possession at the time the MyIPR Certificate was issued.
  • It is explicitly stated that the generation of Hash by the Company for the Digital File does not warrant, substantiate, or authenticate the right of the Creator over such Digital File or the underlying Media and the generation of such Hash can in no manner be construed a substitute for availing protection under the applicable intellectual property rights. The Hash of a Digital File only provides authenticity as to the time at which the Media was presented/uploaded and converted as a Digital File and apart from the foregoing the Company makes no representation or warranty in relation to any matter pertaining to the Media and the Digital File. The Company bears no responsibility in any manner whatsoever with respect to the Media presented/uploaded on the MyIPR and the corresponding Digital File created thereof. Notwithstanding anything contained elsewhere in these Platform Terms, such responsibility/liability shall lie solely with the Creator.
  • Any Registered User who creates such Digital File shall be a Creator and must give a Creator’s Undertaking stating the undertakings given below in Clause 4.5. A Creator shall have to always abide by the terms of the Creator’s Undertaking till the Digital File and the associated Hash created by him is burnt/permanently deleted from the Kalptantra.
  • As a Creator, you undertake that:
    • All the information provided by you during the On-Boarding KYC Process was true and accurate and that there has been no unreported change in such details till date.
    • You have all rights, titles, and interests in the intellectual property rights of the Media for which an associated Digital File is presented/uploaded on the MyIPR Platform, and the uploading of such Media shall not constitute an infringement of any intellectual property rights owned by any third party.
    • You at your own cost undertake to indemnify and defend the Company from any action brought against the Company to the extent that such action is based on a claim that any aspect of the Media associated with the Digital File, when in the same state as created on the MyIPR Platform, infringes any third party’s copyrights, designs, trademarks, or any other intellectual property rights.
    • The Media doesn’t contain any explicit content, child pornography, obscene or immoral content.
    • The Media of your Digital File doesn’t promote violence, sex, suicide or incites hatred among communities.
    • You are not uploading any Digital File on the MyIPR Platform for someone else or on someone else’s directions.
    • The Company retains the authority to inspect and validate the Digital File and MyIPR Certificate generated by you or associated with your MyIPR account or Wallet via its internal procedures. The Company reserves the right to decline the creation of Digital Files. In the event of a policy violation, you may be required to provide the Digital File used in the creation of the MyIPR certificate for verification purposes.
    • The Hash associated with your Digital Files may only be transferred to other Registered Users of the MyIPR Platform and solely through the use of the MyIPR Platform. If you have transferred the Digital File used in the creation of the MyIPR Certificate to individuals or entities outside of the MyIPR platform, MyIPR shall not assume any responsibility for any actions or activities carried out by you or the recipient of the MyIPR Certificate in connection with it.
    • Upon the initiation of a request for the transfer of an existing MyIPR Certificate by the Creator or current possessor, a new MyIPR Certificate will be generated in the name of the 'Transferee' or Receiver. This transfer will be recorded as a visible transactional chain on the blockchain.
    • The transfer of a MyIPR Certificate is an irreversible and permanent procedure. Once a MyIPR Certificate is transferred from one MyIPR Wallet to another, the associated rights are permanently conveyed, and the Company is not authorized to reverse this transfer under any circumstances.
    • MyIPR will prohibit the creation of a MyIPR Certificate for a Digital File that has previously been utilized to generate a MyIPR Certificate, whether by you or any other MyIPR Registered User. This prevents the use of the same file to create another Digital File on any other blockchain.
    • You shall be solely responsible for the Media, the description, quality of the Digital Files and you shall have full responsibility for its authenticity, legality, reliability, and correctness.
    • The transferability of Hash in relation of your Digital Files shall be governed by the Company’s policies and guidelines which may be amended from time to time.
    • The Company may in its sole discretion, freeze the transferability of the Hash subject to outcomes of any disputes or grievances pertaining to such Digital Files.
    • You shall grant the Company an exclusive right to advertise, market or promote any of your Media/Digital File or any Content posted on your Account.
  • We shall have the right to delist/ban the Digital File that a Creator has created if there is a breach of any undertaking given by the Creator under the Creator’s Undertaking.
  • The transferability of the Hash of any Digital Files that you have created shall be governed by the general transfer mechanism prescribed under Clause 5.
• TRANSFER OF Digital File’s
  • Our MyIPR Platform permits the transfer of a MyIPR Certificate which constitutes an immutable proof of the time of creation of the Digital Files and in no manner allows or permits a transfer the underlying Digital file. If you choose to transfer the Media underlying the Digital file itself to any person, you may do so at your discretion outside of the MyIPR Platform.
  • Our MyIPR Platform facilitates the transfer of a MyIPR Certificates, serving as immutable proof of the Digital File's creation time, while explicitly prohibiting the transfer of the underlying digital file. If you decide to transfer the digital file itself to another party, you are free to do so independently outside of the MyIPR Platform. It's important to note that once the digital file is transferred beyond the MyIPR platform, the involved parties bear full responsibility for any subsequent actions, and MyIPR shall not assume any responsibility in this regard.
  • All rights and title pertaining to the MyIPR Certificate of any Digital File can be transferred without restrictions from one Registered User to another Registered User on the MyIPR Platform. This transfer can be initiated by the Creator or the current possessor of the MyIPR Certificate, subject to the terms and conditions associated with such transfer.
  • The Digital Files in your MyIPR Wallet can be made public by you for display. When you make your own Digital Files public for any purpose, you appoint the Company as an operator of such Digital Files (“Operator”) and grant the Company the right to market, rank, host, copy, publicise, transmit, store, rate, access, modify or adapt your Digital Files to ensure that it is in compliance with the standards and the Platform Terms of the Company.
  • As an Operator, the Company shall have your MyIPR Certificate in its custody for the execution of the transaction of transfers. All the transfers of the Hash shall be through the existing approved templates and on the terms and conditions of Kalptantra smart contracts developed by the Company.
  • The Company, either directly or through its registered KYC'ed noders, shall impose a transaction/transfer fee, referred to as the 'Transaction Fee,' on each Hash transfer carried out on the MyIPR Platform. The Transaction Fee may vary based on the MyIPR Platform's traffic at the time of the transaction and will be clearly displayed during the payment portal checkout process.
  • The Company shall also have the right as an Operator to freeze the execution of the smart contract for which the Hash of a Digital File is being transferred if there has been a complaint regarding the authenticity of such Digital File.
  • We make no representations of the Digital Files with respect to its details, usage, features, originality, use-cases, particulars, valuation, future price trajectories, legality, authenticity, or exclusivity. You shall do your own research (DYOR) and be solely responsible for verifying such details.
  • The price of Digital Files, if supplied by the Creator, is not within the Company's purview and is contingent upon the individual assessment and valuation made by the owners of said Media and/or Digital Files. We do not assert any influence over the valuation of Media and/or Digital Files created by any Registered User. MyIPR does not determine the pricing of any media; instead, it solely collects the Transfer fee from the recipient for transferring the MyIPR Certificate, which may be defined and altered by MyIPR.
  • MyIPR only determines the price of transferring the MyIPR Certificate from one Registered User to another and the price does not represent the “Cost” or “Price” of MyIPR certificate or Digital Media used to create the MyIPR Certificate.
  • As an Operator, when a request is made on the MyIPR Platform to transfer the Hash linked to a MyIPR Certificate, the MyIPR Platform will effectuate this transfer in the name of another Registered User. When the Creator or sender initiates the transfer of the existing MyIPR Certificate and the receiver accepts the transfer request, this action will be recorded in the form of a transactional chain on the blockchain for the corresponding MyIPR Certificate. The recipient of the MyIPR Certificate will possess all rights to transfer it, and any prior rights of the sender will cease to be in effect.
  • Please note that the transfer is an irreversible and permanent process and once a Hash is transferred from one MyIPR Wallet to another, the corresponding rights are transferred permanently, and the Company is not empowered to undo such transfer.
• THIRD PARTY SERVICES
  • Certain services on the MyIPR Platform may display, include or make available content, data, information, applications, or materials from third parties ("Third Party Materials") or provide links to certain third-party websites. By using MyIPR Platform, you acknowledge and agree that the Company is not responsible for examining or evaluating the content, accuracy, completeness, timeliness, validity, copyright compliance, legality, decency, quality or any other aspect of such Third-Party Materials or websites.
  • Company and its officers, affiliates, and subsidiaries do not warrant or endorse and do not assume and will not have any liability or responsibility to you or any other person for any third-party services, Third party Materials or websites, or for any other materials, products, or services of third parties. Third Party Materials and links to other websites are provided solely as a convenience to you. The use of such third-party services shall be strictly in accordance with the respective terms and conditions of such third parties.
  • The MyIPR Platform relies on third-party services for the verification of Know Your Customer (KYC) and Know Your Business (KYB) information pertaining to its Registered Users and Entities.
• DELISTING/BANNING OF Digital File’s
  • The Company reserves the right to delist/ban any Digital Files that you own if they are found by the Grievance Redressal Committee (“GRC”) to be:
  • Infringing the intellectual property rights or any other rights of any third party;
  • Violative or contravening any provision or directions of a juridical or statutory law/order applicable on the Company;
  • Violative of the Creator’s Undertaking;
  • Spam, corrupted, reverse engineered, duplicate;
  • Negatively disrupting other users from fully enjoying the services of the MyIPR Platform;
  • Illegal
  • Used for money laundering or terrorism funding activities;
  • Containing child pornography, obscene or immoral content;
  • Promoting violence and suicide
  • Violative of the policies of the Company;
  • Violative of the terms and conditions contained herein including but not limited to the undertakings under ‘Forbidden Actions’.
• BURNING OF MyIPR CERTIFICATE
  • The Company reserves the right to burn any MyIPR Certificate that you own if the Company receives any directions to burn a particular MyIPR Certificate from any concerned statutory, regulatory, and government authority(ies)/ department(s)/office(s).
• INTELLECTUAL PROPERTY RIGHTS
  • Unless otherwise stated by the Company, the Site, all content, and other materials contained therein, including, without limitation, the Company’s logo, and all designs, text graphics, pictures, information, data, software, and files relating to the MyIPR Platform (“Our Content”) are the proprietary property of the Company or our affiliates, licensors, or users, as applicable.
  • The Company logo and any MyIPR Platform product or service names, logos, or slogans that may appear on the Site or elsewhere are the proprietary property of the Company and may not be copied, imitated or used, in whole or in part, without our prior written permission. Unless otherwise stated, you may not use Our Content without our express written permission.
• COMPLAINTS TO THE GRC
  • We, as a Company, value the importance of an efficient dispute redressal mechanism and as such have established a GRC to address and adjudicate on the complaints and feedback of our users. If you ever feel that a Digital File violates any of the conditions stipulated under Clause 7.1 of these Platform Terms, please feel free to file a complaint with all the relevant facts, evidence, supporting documents and materials to the GRC. Such a complaint shall be sent by email on the care@myipr.io .
  • Pursuant to the complaint, the GRC shall investigate the alleged violation and shall give an opportunity to the concerned owner of the Digital File to submit a response/explanation to such allegation.
  • Pursuant to the fair adjudication, the GRC shall pass a final order and if in its opinion the violation is established, we reserve the right to delist/ ban such Digital File and if the case of violation is made against a user who is a repeated violator, his Account may be permanently blocked.
  • The decision of the GRC in such matter shall be final and binding on the concerned parties.
• FORBIDDEN ACTIONS
  • In pursuance of your using the MyIPR Platform, you affirm that you will not:
  • Supply any information which is inaccurate, erroneous or misleading.
  • Be a part of any transaction that involves any illegal activity.
  • Try to deliberately defraud (or assist to defraud) the Company or any of its users or suppliers.
  • Tamper with or alter or attempt to tamper/alter the display and characteristics of the Hash and/or use the Hash for any fraudulent or mischievous activities.
  • Contravene (or assist anyone in contravening) any law, ordinance, statute, rules or regulations that are in force and are applicable to you.
  • Seek to gain access to any of the user’s accounts, services or networks of the company without due authorization.
  • Utilize the services of the Company to do any act which will be detrimental to the Company, its users, suppliers or any other third party.
  • Infringe the intellectual property rights or the privacy of the Company, users, its suppliers, or any third party.
  • Transfer or exhibit any photos, videos, texts, or any other Media that will be illegal, violent, obscene, pornographic or any other material over which someone else holds a copyright.
  • Contravene any public interests, morals or the true interests of others including any actions that would interfere with or negatively affect or prevent other users from accessing the MyIPR Platform.
  • Upload, send or distribute to or through the MyIPR Platform any computer viruses, worms or any software meant to damage or modify a computer system or data.
  • Interfere with, disrupt, or create an extreme pressure on servers or networks related to the MyIPR Platform, or contravene their policies or procedures.
  • Try to reverse engineer, de compile, disable, copy, or disrupt the integrity or the performance of the MyIPR Platform.
  • Use the MyIPR Platform in order to build a competitive product or service or take any ideas, features, or media from the MyIPR Platform for the same.
  • Enforcement: By using the services of the Company, you agree that the Company reserves the right to probe any violation of any of the terms and conditions mentioned in the Platform Terms. If found guilty of violation, the Company also has the right to take appropriate actions under appropriate regulations without your consent or prior intimation.
• ASSUMPTIONS OF RISK
• General Assumptions of Risk:
• The Company will not be liable for any loss of any kind from any action taken or taken in reliance on material or information contained on the MyIPR Platform. The Company does not represent or warrant that any content on the MyIPR Platform is accurate, complete, reliable, current or error-free.
• You acknowledge that any transfer of Hash pertaining to the Digital Files must be with the knowledge and assumption of the risk that the Hash and Digital Files may subsequently be removed from the MyIPR Platform as a consequence of a claim of an infringement of the policies of the Company. The Company will not, under any circumstance, be held liable to you for removing infringing works from the MyIPR Platform.
• The Company declares that the applicable regulatory landscape governing blockchain technologies, cryptocurrencies and other digital assets is uncertain and the issuance of new regulations, directions, judgements, adaptations by the legal authorities may have an adverse impact on the functioning, development and value of the Digital Files and the Hash. The Company shall not be responsible for any legal action or loss that you suffer due to your use of MyIPR Platform.
• The Company makes no warranty that the services provided through the MyIPR Platform will meet your requirements, or that the MyIPR Platform will be uninterrupted, timely, secure, or error free. This includes loss of data, Hash or any service interruption caused due to any reason whatsoever. The Company is not responsible for transmission errors, corruption of data.
• The Company disclaims any representation as to the originality, novelty and creativity of the Media and the Digital File. The Company has not validated whether the Creator who has upload the Media as a Digital File is the original author, creator, inventor of the Media underlying the Digital File and/or whether such Media does or doesn’t infringe the intellectual property rights of any third party.
• Under no circumstances, the operation of all or any portion of the MyIPR Platform will be deemed to create a relationship that includes the provision or tendering of an investment advice.
• The Company shall act within the bounds of the applicable laws. The Company endeavours to abide by the AML and CTF standards set by the FATF and hence, may report the suspicious financial transactions done by you on the MyIPR Platform to the appropriate authorities.
• Risks of Smart Contracts and Blockchain Technology
• The transactions with respect to the transfer of Hash utilize experimental smart contract and blockchain technology which is a novel and evolving concept. There may be developments that compromise the functioning of these technologies, and the Company disclaims all the liabilities in this regard.
• The user represents and warrants that the user is knowledgeable, experienced and understands the usage of blockchain technology and that user acknowledges, understands and is willing to accept the risks associated with related technological and cryptographic systems such as blockchains, digital assets, smart contracts, cryptocurrencies, decentralized or peer-to-peer networks and systems etc.
• The user further acknowledge and agree that such technological and cryptographic systems (inclusive of the examples listed in the preceding clause) may be subject to malfunctions, bugs, timing errors, hacking and theft, changes to the protocol rules of the blockchain (i.e., ‘forks’), hardware, software and/or internet connectivity failures, unauthorized third party data access, and other technological risks, any of which can adversely affect the relevant smart contracts and may expose user to a risk of loss, forfeiture of user’s Digital Files and Hash, or lost opportunities to transfer the Hash to any other Registered User.
• The user accepts the inherent security risks of providing information and conducting business over the internet and acknowledge that Company assumes no liability or responsibility for any such failures, risks, or uncertainties, nor for any communication failures, disruptions, errors, distortions, or delays that the user may experience when using the MyIPR Platform, however so caused.
• The MyIPR Platform may experience or be the target of sophisticated cyber- attacks, unexpected surges in activity or other operational or technical difficulties that may cause interruptions to or delays on the platform.
• The user acknowledges that the smart contracts once executed over the blockchain are permanent and immutable and there shall be no cancellation or refund of any transaction that has once been executed through the smart contract.
• AMENDMENT TO THIS POLICY
  • Any changes to be made to these Platform Terms will be effective once published on the website or upon release to the users of MyIPR Platform. Your continuous use of the MyIPR Platform or the services available therein is considered your acceptance of such amended terms. If you do not agree to any amendments in these Platform Terms, you must stop using the MyIPR Platform effective immediately. A frequent viewing of these Platform Terms is recommended for a better understanding of the Platform Terms that apply to access and use of the MyIPR Platform.
• PROHIBITION OF USE
  • UPON THE ACCESS AND USE OF THE MyIPR PLATFORM, YOU REPRESENT AND CONFIRM THAT YOU ARE NOT A PART OF ANY TRADE EMBARGOES OR ECONOMIC SANCTIONS LIST (SUCH AS THE UNITED NATIONS SECURITY COUNCIL SANCTIONS LIST), ETC. MAI LABS PRIVATE LIMITED RESERVES THE RIGHT TO DECIDE MARKETS AND JURISDICTIONS TO CONDUCT BUSINESS, AND MAY RESTRICT OR PROHIBIT, AS PER DISCRETION, THE USE OF THE MyIPR PLATFORM IN CERTAIN COUNTRIES OR REGIONS.

  • THIS MyIPR PLATFORM IS PROVIDED BY THE COMPANY ON AN “AS IS” AND “AS AVAILABLE” BASIS AND THE COMPANY MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, AS TO THE OPERATION OF THIS MyIPR PLATFORM OR THE INFORMATION, CONTENT INCLUDED ON THIS MyIPR PLATFORM. YOU EXPRESSLY AGREE THAT YOUR USE OF THIS MyIPR PLATFORM IS AT YOUR SOLE RISK. THE COMPANY RESERVES THE RIGHT TO WITHDRAW OR DELETE ANY INFORMATION FROM THIS MyIPR PLATFORM AT ANY TIME IN ITS DISCRETION.

  • TO THE EXTENT PERMITTED BY LAW, THE COMPANY SHALL NOT BE RESPONSIBLE FOR LOST PROFITS, REVENUES, OR DATA, FINANCIAL LOSSES OR INDIRECT, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, WHETHER ARISING FROM OR RELATING TO THESE PLATFORM TERMS, THE MyIPR PLATFORM, OUR CONTENT OR THIRD- PARTY MATERIALS, OR FOR ANY DAMAGES RELATED TO LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS OR ANTICIPATED SAVINGS, LOSS OF USE, LOSS OF GOODWILL, OR LOSS OF DATA, AND WHETHER CAUSED BY TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT, OR OTHERWISE, EVEN IF FORESEEABLE AND EVEN IF THE COMPANY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

BUYING A MEDIA OR A Digital File DOESN’T ENTITLE YOU TO ANY RIGHTS IN THE MyIPR PLATFORM AND THE COMPANY OR ANY OF ITS ASSETS.
• COMPLIANCE
  • You are responsible solely for making sure that your use of the MyIPR Platform is compliant with all laws, rules and regulations applicable to you.
  • Your right to access the services is automatically revoked where its use is prohibited or to the extent that the offering of the services on the MyIPR Platform violates any law, rule or provision applicable to you.
• LICENSE
  • Subject to compliance with these Platform Terms and the applicable laws, the Company grants you a non-transferable, nonexclusive, revocable and limited license to use and access the MyIPR Platform for your personal purposes. This license is given explicitly for you to use the services provided on the MyIPR Platform and the other platforms of the Company. The Company shall revoke this license if there is any unauthorized use of the license.
• PRIVACY POLICY
  • We respect the privacy of every individual and endeavor to establish best practices while processing personal data which is collected, transferred, collated, accesses by us.
  • At the time of your registration/sign-up and during your use of our platform, we collect data, information which may be personal or sensitive personal data. The information is processed according to the category of data and in compliance with the applicable data privacy laws.
  • Any information that is collected by us is used for a specific and legal purpose in accordance with our Privacy Policy available at https://myipr.io/privacypolicy .
• MODIFICATION
  • The Company reserves the right at any time to change, suspend, or discontinue the MyIPR Platform in whole or in part with or without notice to the users. You agree that the Company will not be liable to you for any such act.
• TAX COMPLIANCE
  • You agree that you are solely liable for determining what, if any, taxes apply to your transactions on the MyIPR Platform, as per the applicable laws of any country in which you are residing or are situated. Neither the Company nor any other Third Party is responsible for determining the taxes that may apply to your Digital Files transactions on any platform or service offered by the Company.
• INDEMNIFICATION
  • You shall at your own expense indemnify and defend the Company from any action brought against the Company to the extent that such action is based on a claim that any aspect of your Content (including the Digital Files) that you created, sold or own, infringes any third-party patents, copyrights, or other intellectual property rights.
  • You shall fully indemnify, defend and hold harmless the Company its affiliates and its employees and directors, from and against any and all liability, claims, demands, actions, damages, costs, expenses, proceedings or investigations, whether judicial or administrative in nature, and/or other losses of any kind whatsoever (including, without limitation, reasonable attorneys' fees) (hereinafter referred to as the “Claims”), of whatever type and nature which shall be caused (directly or indirectly) by, arise out of, or in any manner be connected with the following:
  • Any breach of this Platform Terms or any other terms and policies of the Company incorporated in these Platform Terms by reference;
  • Any violation of applicable, state or local laws or regulations by you including claims by government, regulators or agencies for fines, penalties, sanctions or other remedies arising from or in connection with your failure to comply with its regulatory/legal requirements and compliances;
  • Taxes/charges/cess/levies (and interest or penalties assessed thereon) against the Company that is your obligation;
  • Inaccuracy or incompleteness of any Account information, Content or other information provided or submitted by you in connection with your use of the MyIPR Platform.
• ARBITRATION CLAUSE
  • All or any disputes, controversy or claim, arising out or touching upon or in relation to the Platform Terms, including the interpretations and validity of the terms hereof and respective rights and obligations of the Parties, shall be settled amicably by mutual discussion, failing which the same shall be settled through Arbitration of a sole Arbitrator appointed mutually by the Parties. The Arbitration shall be subject to the Arbitration and Conciliation Act, 1996 as may be amended from time to time.
  • The Seat and Venue of the Arbitration shall be in New Delhi, and the arbitration shall be conducted in English language.
• MISCELLANEOUS
  • Waiver:The remedies herein reserved shall be cumulative, and in addition to any other remedies provided at law or equity. Any failure by the Company to enforce or insist upon strict compliance with any provision of these Platform Terms shall not be deemed to constitute a waiver of rights to demand strict compliance with the terms hereof. No waiver of any term or condition of these Platform Terms shall be deemed or construed to be a waiver of any subsequent such term or condition in the future.
  • Severability:Each of the provision of these Platform Terms is separate and severable from the other. Any provision which is invalid or unenforceable, shall be ineffective to the extent of such invalidity or unenforceability, without affecting in any way the remaining provisions hereof.
  • Entire Agreement:These Platform Terms and the terms and conditions set out in these Platform Terms by reference, constitute the entire agreement between the user and the Company with respect to the subject matter hereof.
